1. Introduction and Agreement

Welcome to SWFL Trade Circle, operated by [Legal owner/operator name], doing business as SWFL Trade Circle (“SWFL Trade Circle,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your access to and use of swfltradecircle.com and its related features, including business listings, project postings, profiles, reviews, groups, community activity, and messaging (collectively, the “Service”).

By registering for an account or otherwise affirmatively accepting these Terms, you agree to them. These Terms also describe the conditions on which we make the Service available. If you do not agree, do not create an account, submit content, or use account-based features.

Our Privacy Policy explains how we collect, use, and disclose information. Privacy permissions and any legally required consent are handled separately; these Terms do not replace them.

2. What SWFL Trade Circle Provides

SWFL Trade Circle is a directory and community platform that helps businesses, trade professionals, property owners, and other users discover one another and communicate.

Unless we expressly agree otherwise in a separate written agreement:

  • We are not the contractor, subcontractor, employer, employee, broker, agent, or representative of any user.
  • We do not perform, supervise, inspect, or guarantee services advertised through the platform.
  • We are not a party to contracts between users.
  • We do not hold project deposits, provide escrow, or guarantee payments.
  • We do not guarantee that a listing, project, inquiry, review, or user is accurate, legitimate, current, or suitable for your needs.

Account approval, listing publication, ratings, badges, and placement on the website do not constitute an endorsement or certification.

3. Eligibility and Authority

You must be at least 18 years old and legally able to enter into an agreement to create an account, submit content, or arrange services through the platform.

If you use the Service on behalf of a business or organization, you represent that you have authority to act on its behalf.

You may not use another person’s identity, misrepresent your relationship with a business, or create an account to evade a suspension or restriction.

4. Accounts and Security

You agree to provide accurate registration information and keep it reasonably current.

You are responsible for safeguarding your password and for activity you authorize through your account. Notify us promptly at info@swfltradecircle.com if you suspect unauthorized access.

We may require account approval, email verification, or additional information before enabling certain features. Approval does not mean we have verified a user’s professional qualifications, licenses, insurance, identity, or trustworthiness.

We may refuse or restrict accounts for legitimate security, operational, or policy reasons, subject to applicable law.

5. Business Listings

You may create or manage a business listing only if you own the business or have permission to represent it.

Business information must be accurate and must not mislead visitors. This includes business names, contact details, locations, service areas, qualifications, affiliations, photographs, and descriptions.

You are responsible for:

  • Keeping phone numbers, addresses, service areas, and availability current.
  • Accurately describing the services you are qualified and authorized to perform.
  • Maintaining any licenses, registrations, permits, and insurance required for your work.
  • Using business names, logos, photographs, and other materials only with appropriate rights or permission.
  • Correcting outdated or inaccurate information.

Do not claim to be licensed, insured, certified, bonded, verified, or endorsed unless the claim is true and can be supported.

Do not post a private residential address unless you are authorized to disclose it and understand it may be publicly visible.

We may request evidence of authority to manage a listing. Disputed ownership or representation may result in temporary restrictions while we review the issue.

6. Project Postings and Responses

Project postings must describe a genuine need or opportunity. You must have authority to request the work or represent the person or organization seeking it.

Provide reasonably accurate descriptions, locations or service areas, desired dates, budgets, and other relevant information. Update or remove postings when they are no longer available.

Do not publish sensitive details such as access codes, alarm information, financial account information, or instructions revealing when a property will be unoccupied.

Budgets, deadlines, estimates, availability, and responses posted on the Service are informational. Posting a project or responding to one does not, by itself, create a contract with SWFL Trade Circle or guarantee that a contract exists between users.

Users are responsible for clearly agreeing to the scope, price, payment schedule, timeline, materials, warranties, change orders, and other terms of any work.

7. Independent Verification and Hiring Decisions

Before hiring, paying, granting property access, or entering into an agreement, independently evaluate the other party.

As appropriate, verify identity, business registration, licensing, insurance, references, qualifications, and the terms of the proposed work.

Website ratings, badges, photographs, and statements are not substitutes for your own checks. We do not guarantee the results of any background check or verification performed by another party.

The Service is not an emergency service. Contact emergency services or the appropriate authorities when necessary.

8. Agreements, Payments, and Disputes Between Users

Contracts, payments, deposits, refunds, cancellations, workmanship issues, property damage, injuries, and other matters arising from work arranged between users are the responsibility of the parties involved.

SWFL Trade Circle does not guarantee:

  • That a professional will respond, arrive, complete work, or meet expectations.
  • That a customer will hire, provide access, or pay.
  • That a project will result in a job, lead, sale, or business relationship.
  • That information or advice exchanged will be correct or appropriate.

We may, but are not required to, assist with communication or investigate reported misuse. We do not act as a court, insurer, arbitrator, or collection agency for user disputes.

Nothing in these Terms restricts your right to contact regulators, law enforcement, an attorney, or a court.

9. Reviews and Ratings

Published reviews may be viewed publicly. You must have an account to submit a review.

Reviews must reflect a genuine experience and your honest opinions. Factual statements must be accurate to the best of your knowledge.

You may not:

  • Submit fabricated reviews or reviews about experiences that did not occur.
  • Review your own business as though you were an independent customer.
  • Use multiple accounts to manipulate ratings.
  • Buy, sell, or exchange reviews.
  • Offer or accept an incentive conditioned on a positive or negative rating.
  • Post reviews primarily to harm a competitor.
  • Threaten, extort, or harass someone over a review.
  • Include private information, unlawful threats, or unrelated promotional material.

Disclose material relationships or incentives that could affect how a reader evaluates your review. Disclosure does not make an otherwise prohibited review acceptable.

Businesses may respond professionally and report suspected violations. A business’s disagreement with a review is not, by itself, a reason for removal.

We may moderate reviews for these standards, applying them without favoring positive over negative opinions. We do not prohibit honest criticism or impose penalties merely because a review is negative.

Ratings summarize submitted reviews; they are not our independent assessment of a business.

10. Community Features

Profiles, groups, activity feeds, comments, and other community features are intended for relevant, lawful, and respectful participation.

Group administrators may establish additional rules consistent with these Terms. Group administrators and members do not represent SWFL Trade Circle unless we expressly identify them as authorized representatives.

Group names or privacy settings do not guarantee confidentiality. Members may copy or share information, and administrators may have access needed to operate or moderate the Service.

Do not post information in a community feature that you are not authorized or comfortable sharing with its audience.

11. Messaging and Contact Information

Use contact forms, messaging, and displayed contact information only for legitimate, relevant communication.

Do not use them for unsolicited bulk advertising, repeated unwanted contact, phishing, scams, harassment, or collecting contact lists.

Submitting a listing inquiry may share your name, email address, and message with the listing owner. Website administrators may also receive a copy, as described in our Privacy Policy.

A public phone number, address, or members-only email address is not blanket permission to send marketing messages or make automated calls.

Business email addresses restricted to logged-in users must not be scraped, compiled into marketing lists, or redistributed to bypass that restriction.

Messaging is not an emergency or confidential professional-advice channel. Delivery, response, and uninterrupted availability are not guaranteed.

12. Public Content and Privacy

Content published in public areas may be accessible to visitors, indexed by search engines, and copied or shared by others.

You decide what information to submit and are responsible for having permission to share it. Do not post another person’s private information without authorization.

Registration information and private communications are handled as described in our Privacy Policy; they are not automatically public merely because you use the website.

The designated business email field may be restricted to logged-in users. An email address placed in a public description, photograph, review, or other public content will not receive that protection.

Deleting content from the Service does not guarantee removal from search engines, archives, screenshots, or copies held by others.

13. User Content and Permissions

“User Content” includes listings, projects, reviews, messages, photographs, logos, profile information, comments, and other materials you submit.

You retain ownership of your User Content.

You grant us a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, resize, transmit, and display your User Content only as reasonably necessary to operate, maintain, secure, and provide the Service.

This license respects the intended audience and applicable privacy settings of the feature where you submit content. It does not authorize us to publicly advertise using your private messages.

You permit our service providers to process User Content as necessary to provide services on our behalf.

The license ends when your content is deleted from our active systems, except to the extent reasonably necessary for backups, legal obligations, security records, or copies already incorporated into permitted communications. Retention remains subject to our Privacy Policy and applicable law.

You represent that you have the rights and permissions necessary to submit your content and grant this license.

14. Photographs, Logos, and Uploads

Only upload files you own or are authorized to use.

Obtain appropriate permission before uploading recognizable individuals, customer properties, private interiors, documents, or third-party branding.

Follow the file type, size, and quantity limits displayed on the Service. We may resize, compress, or reformat images for display and performance.

Do not upload malicious files, unlawful material, or images that falsely represent your business, work, qualifications, or results.

Keep your own copies of important files. The Service is not a permanent archive or backup service.

15. Prohibited Conduct

You may not use the Service to:

  • Violate applicable laws or another person’s rights.
  • Commit fraud, impersonate others, or make materially misleading claims.
  • Advertise unlawful services or work you are not legally authorized to perform.
  • Harass, stalk, threaten, discriminate unlawfully, or publish hateful or sexually exploitative content.
  • Expose private information or facilitate identity theft.
  • Send spam or deceptive solicitations.
  • Upload malware or interfere with website operation.
  • Attempt unauthorized access to accounts, systems, or nonpublic information.
  • Bypass authentication, email visibility restrictions, rate limits, or security controls.
  • Manipulate reviews, engagement, badges, rankings, or other platform indicators.
  • Harvest member data or scrape the Service without permission.
  • Reproduce substantial portions of the directory to create a competing database without authorization.
  • Coordinate unlawful price-fixing, bid-rigging, market allocation, or other anticompetitive conduct.
  • Encourage or assist others in these activities.

Ordinary search-engine indexing consistent with our technical instructions is not prohibited by the scraping restriction.

16. Moderation and Listing Status

We may review, approve, reject, restrict, or remove accounts or content for violations of these Terms, legal requirements, security concerns, misleading information, or other legitimate operational reasons.

New listings and edits may require approval. Listings or projects may expire, be archived, or be removed under the settings and notices applicable to them.

We do not promise to review every submission or detect every violation. Publication does not mean that we endorse or have verified the content.

We may take immediate action when reasonably necessary to address a serious risk. Where appropriate, we may provide notice or an opportunity to correct an issue.

You may request review of a moderation decision by contacting info@swfltradecircle.com and identifying the affected account or content.

17. Search Results, Badges, and Promotions

Search order and visibility may depend on relevance, selected filters, listing information, recency, engagement, and other website settings.

Labels such as “New,” “Popular,” or “Featured” do not guarantee quality, licensing, insurance, or reliability.

If we offer paid placement or sponsored content, it will be identified as applicable. Payment does not entitle a business to favorable reviews or removal of honest negative reviews.

We do not guarantee a particular ranking, amount of traffic, number of inquiries, or business outcome.

18. Fees and Future Paid Features

Any paid feature we offer will be subject to pricing and purchase terms disclosed before you agree to pay.

Those terms should identify what is included and any applicable duration, renewal, cancellation, and refund conditions.

Creating a free account or accepting these Terms does not, by itself, authorize charges or automatic enrollment in a paid service.

Payments made directly between users for work or services are governed by their own agreements, not by this section.

19. Website Ownership

Except for User Content and third-party materials, the website’s original branding, design, text, graphics, and software are owned by or licensed to the operator and protected by applicable intellectual property laws.

You may use the Service for its intended purposes. You may not use our branding to imply sponsorship, affiliation, certification, or endorsement without written permission.

These Terms do not transfer ownership of our intellectual property to you or ownership of your User Content to us.

20. Copyright and Other Rights Complaints

If you believe content infringes your copyright, trademark, privacy, or other rights, contact info@swfltradecircle.com with:

  • Your name and contact information.
  • A description of the right or work involved.
  • The exact page address or other location of the disputed content.
  • An explanation of the alleged violation.
  • Relevant supporting information and your authority to submit the report.

For copyright complaints, also provide a statement that you have a good-faith belief the use is unauthorized, a statement that the information is accurate and that you are the rights holder or authorized to act for the rights holder, and your physical or electronic signature.

We may request additional information, remove or restrict disputed material, notify the submitting user, or take other appropriate action. We may terminate accounts associated with repeated infringement where appropriate.

Do not submit knowingly false or abusive complaints. This reporting process does not limit any legally available remedies or replace procedures required by applicable law.

21. Third-Party Services and Links

The Service may use or link to third-party maps, analytics, hosting, email systems, websites, or other tools.

Third-party services are governed by their own terms and privacy policies. We do not control independent websites, businesses, or their handling of information.

A link, embedded tool, or listing does not imply our endorsement. Third-party services may change or become unavailable.

22. Communications

We may send administrative communications about account approval, security, inquiries, listings, moderation, and changes affecting the Service.

Any promotional communications will be handled according to applicable law and available preference or unsubscribe controls. Accepting these Terms is not consent to unrelated marketing calls or text messages.

You are responsible for keeping your contact information current.

23. Availability and Changes to the Service

We may maintain, update, modify, or discontinue features. The Service may be unavailable because of maintenance, technical failures, security incidents, or events outside our reasonable control.

We do not guarantee uninterrupted availability or permanent storage of content.

If a change affects a paid service, applicable purchase terms and mandatory legal rights will also apply.

24. Disclaimers

To the extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or noninfringement.

We do not warrant that user information is accurate or complete, that all users are legitimate, that defects will be corrected immediately, or that the Service will always be secure or error-free.

Content shared through the Service is not legal, financial, engineering, building-code, safety, or other professional advice from SWFL Trade Circle.

You are responsible for evaluating information and obtaining qualified professional advice when appropriate.

Nothing in these Terms excludes a warranty or protection that cannot legally be excluded.

25. Limitation of Liability

To the extent permitted by applicable law, SWFL Trade Circle and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost opportunities, or loss of data arising from use of the Service.

To the extent permitted by law, our total liability for claims arising from the Service will not exceed the greater of:

  • The amount you paid directly to SWFL Trade Circle for the Service during the 12 months before the event giving rise to the claim; or
  • $100.

These limitations do not apply to fraud, willful misconduct, gross negligence, or any liability that applicable law does not allow to be limited or excluded.

Your mandatory consumer rights remain unaffected.

26. Responsibility for Third-Party Claims

To the extent permitted by law, you agree to reimburse SWFL Trade Circle for reasonable losses and legal expenses resulting from a third-party claim caused by your unlawful conduct, infringement of another person’s rights, or material breach of these Terms.

This obligation does not apply to losses caused by our own negligence, misconduct, or breach of these Terms.

We will provide reasonable notice of a covered claim and an opportunity to participate in its defense. No settlement may impose an admission or nonmonetary obligation on you without your consent.

27. Closing Accounts and Termination

You may stop using the Service at any time and request account closure by contacting info@swfltradecircle.com, or by using available account controls.

We may suspend or terminate access for material violations, unlawful activity, security risks, or other legitimate reasons described in these Terms.

Account closure does not automatically remove all publicly submitted reviews, content quoted by others, backups, or records that must be retained. Requests will be handled according to our Privacy Policy and applicable law.

Provisions that reasonably need to continue after termination—including those concerning existing disputes, intellectual property, liability, and retained records—will remain applicable.

28. Governing Law and Disputes

These Terms are governed by Florida law and applicable United States federal law, without overriding mandatory protections that apply where you live.

If a dispute arises with SWFL Trade Circle, you may contact info@swfltradecircle.com so we can attempt to resolve it informally. This does not prevent you from seeking urgent relief, contacting a regulator, filing in small claims court, or exercising another legal right.

Unless mandatory law provides otherwise, disputes may be brought in a state or federal court in Florida that has jurisdiction over the parties and the dispute.

These Terms do not impose mandatory arbitration or a class-action waiver.

29. Changes to These Terms

We may update these Terms as the Service evolves. We will post the revised version and update the date above.

For material changes, we will provide reasonable notice through the website or account contact information where appropriate. We will obtain renewed agreement when required by law.

Changes will not retroactively alter an existing dispute without the parties’ agreement.

If you do not accept updated Terms, stop using the affected features and request account closure if desired.

30. General Provisions

If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A delay in enforcing a provision does not waive the right to enforce it later.

These Terms, together with any expressly applicable feature or purchase terms, form the agreement concerning your use of the Service.

Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency between SWFL Trade Circle and a user.
